Vendly POS Software

These Terms and Conditions (“Terms”) govern the access to and use of Vendly, a point-of-sale (POS) software platform operated under the domain https://vendly.life (the “Service”).

By accessing or using Vendly, you agree to comply with and be bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

  • “Vendly,” “we,” “us,” or “our” refers to the owners and operators of Vendly.
  • “User,” “you,” or “your” refers to any individual, merchant, or business entity using Vendly.
  • “Service” refers to Vendly's POS software, website, mobile applications, and related services.
  • “Account” refers to a registered Vendly user account.

2. Eligibility

You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872 to use Vendly.

If you are using Vendly on behalf of a business, you represent that you are legally authorized to bind that business.

3. Account Registration

To access Vendly's features, you must create an account.

You agree to:

  • Provide accurate, complete, and current information
  • Maintain confidentiality of your login credentials
  • Accept responsibility for all activities conducted through your account

Vendly shall not be responsible for any loss arising from unauthorized use of your account.

4. Use of the Service

You agree to use Vendly only for lawful commercial purposes in compliance with Indian laws.

You shall not:

  • Use the Service for fraudulent, illegal, or misleading activities
  • Reverse engineer, copy, modify, or resell the software
  • Attempt unauthorized access to systems or data
  • Use Vendly in violation of tax, financial, or consumer protection laws

Vendly reserves the right to suspend or terminate access if misuse is detected.

5. Subscription, Fees & Taxes

Vendly may offer free and paid subscription plans.

  • Fees are displayed on the website or application
  • All payments are exclusive of applicable GST unless stated otherwise
  • Users are responsible for timely payment of subscription fees
  • Payments once made are non-refundable, unless required by law

Failure to pay may result in suspension or termination of the Service.

6. Merchant Responsibilities

As a POS software provider, Vendly does not act as a seller, buyer, or payment intermediary.

You are solely responsible for:

  • Correct billing and invoicing
  • Compliance with GST laws, including filing and reporting
  • Accuracy of pricing, taxes, and transaction records
  • Compliance with local business and trade laws

Vendly does not guarantee legal or tax compliance.

7. Data Ownership & Usage

You retain full ownership of all data entered into Vendly, including sales records, customer information, and inventory data.

8. Privacy & Data Protection

Vendly processes personal data in accordance with:

  • The Information Technology Act, 2000
  • Applicable rules under the IT Act
  • Emerging data protection regulations in India

9. Third-Party Integrations

Vendly may integrate with third-party services such as:

  • Payment gateways
  • Accounting software
  • Hardware vendors

Vendly is not responsible for third-party services, their availability, security, or terms.

10. Intellectual Property

All intellectual property related to Vendly, including software, branding, trademarks, logos, and content, is owned by Vendly or its licensors.

You are granted a limited, non-exclusive, non-transferable license to use Vendly during your subscription period.

Unauthorized use is strictly prohibited.

11. Service Availability & Updates

Vendly is provided on an “as is” and “as available” basis.

We do not guarantee:

  • Continuous or uninterrupted availability
  • Error-free performance
  • Compatibility with all hardware or devices

Updates, maintenance, or temporary downtime may occur.

12. Limitation of Liability

To the maximum extent permitted under Indian law, Vendly shall not be liable for:

  • Loss of profits or revenue
  • Loss of data or business information
  • Business interruption
  • Indirect, incidental, or consequential damages

Vendly's total liability shall not exceed the amount paid by you to Vendly in the preceding 12 months.

13. Indemnification

You agree to indemnify and hold Vendly harmless against any claims, losses, or damages arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of applicable Indian laws

14. Termination

You may discontinue using Vendly at any time.

Vendly may suspend or terminate access:

  • For breach of these Terms
  • For non-payment
  • If required by law or regulatory authorities

Upon termination, access to data may be limited or deleted as per retention policies.

15. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.

Courts located in Tamilnadu shall have exclusive jurisdiction.
